Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Lynex Digital LLC ("Lynex", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, you are prohibited from using or accessing our website and services.

2. Services & Project Scope

Lynex provides premium design, development, and digital consulting services. The specific scope of work, deliverables, and timelines for any client project will be governed by a separate Service Agreement, Statement of Work (SOW), or project contract mutually signed by both parties.

3. Intellectual Property Rights

Unless otherwise specified in a signed Service Agreement:

  • All source code, designs, Figma files, layouts, and materials created specifically for a client will be transferred to client ownership upon full and final payment of all outstanding invoices.
  • Lynex retains ownership of any pre-existing code libraries, proprietary tools, frameworks, and generalized architectural methodologies used during the provision of the services.
  • We reserve the right to display design assets, screenshots, and completed development works in our online portfolio and marketing materials, unless explicitly restricted under a signed Non-Disclosure Agreement (NDA).

4. Payment Terms & Invoicing

Clients agree to pay all fees associated with project sprints, deliverables, and milestone agreements as detailed in the project contract. Invoices are issued based on scheduled milestones or sprint timelines, and payments must be settled within the timeframe specified in the project contract. Late payments may result in immediate suspension of development, deployment, or design services.

5. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Lynex or its affiliates, founders, or employees be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of or inability to use our services.

6. Governing Law

These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

7. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. Any changes will be posted directly on this page, and the "Last updated" date will be updated accordingly. Continued use of our website or services after any modifications constitutes acceptance of the new terms.
